1. Acceptance of these Terms
1.1Agreement. These Terms of Service ("Terms") are a binding agreement between you and UdaiSpot ("we", "us") for your use of our website, mobile app and related services (together, the "Platform"). By browsing, creating an account, posting, enquiring or booking, you accept these Terms.
1.2Related policies. These Terms include our Privacy Policy, Disclaimer, Listing & Content Policy and Grievance Redressal page. If you do not agree to any of them, please do not use the Platform.
1.3Eligibility. You must be at least 18 years old and capable of entering a legally binding contract under Indian law. If you use the Platform for a business, you confirm you have authority to bind it.
1.4Changes. We may update these Terms when our services or the law change. The date at the top shows the latest version. Continuing to use the Platform after an update means you accept it. For material changes we will give notice on the Platform or by email.
2. What UdaiSpot is, and is not
2.1An online platform. UdaiSpot is an online marketplace and information platform for property, stays, venues and related services in and around Udaipur, Rajasthan. We act as an intermediary under the Information Technology Act, 2000: we host content that users create and help people find and contact each other, and we follow the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.
2.2Not a party to any deal. We are not a party to, and do not take part in, any sale, purchase, rent, lease, booking, loan or other agreement made between users, or between you and a third-party professional, lender, vendor or venue. Any such agreement is solely between those parties.
2.3Not a broker or adviser. Unless we expressly say so in writing for a specific service, we are not a real estate agent or broker, lawyer, chartered accountant, valuer, architect, engineer, lender or financial adviser. Nothing on the Platform is legal, financial, tax, valuation or technical advice.
2.4No endorsement. Showing a listing, user, professional, vendor, lender or venue is not an endorsement, recommendation or guarantee of it. You decide whom to deal with, at your own risk.
2.5Not an agent or lender. Unless a listing or service says otherwise in writing, we do not act as a real estate agent under the Real Estate (Regulation and Development) Act, 2016, do not negotiate or close deals, and do not charge or collect brokerage. We are not a bank, lender or loan agent. Agents, builders and lenders shown on the Platform act for themselves.
3. Your account
3.1Accurate details. Give true, current and complete information when you register or post, and keep it updated. Do not impersonate anyone or create accounts to avoid a suspension.
3.2Security. Keep your password and any one-time codes confidential. You are responsible for all activity under your account. Tell us promptly through the Grievance Redressal page if you suspect misuse.
3.3Personal use. Accounts are personal and may not be sold, shared or transferred. We may ask you to verify your email address or phone number.
4. Listings, requirements and other content you post
4.1Your responsibility. You are solely responsible for everything you post, including listings, requirements, photos, documents, reviews and messages. You must have the right to post it, and it must be accurate, lawful and follow the Listing & Content Policy.
4.2Owner declaration. By submitting a listing you declare that you are the owner of the property or are legally authorised by the owner to list it, and that you will promptly update or remove the listing if the property is sold, let, withdrawn or becomes disputed.
4.3Licence to us. You keep ownership of your content. You give us a non-exclusive, free, worldwide licence to host, display, reproduce, resize and promote it on the Platform and in our marketing, while it is on the Platform and for a reasonable time afterwards.
4.4Review is not verification. We may review submissions for completeness and obvious problems before or after they go live. This is not a check of title, ownership, legal status, price, area or documents. Approval of a listing is not a guarantee that it is genuine, complete or free of disputes.
4.5Verified badge. Where a "verified" badge appears, it means only that the specific documents or details we name were checked against what was shown to us at that time. It is not a certificate of title or a guarantee, and it does not cover anything we did not check.
4.6Our right to act. We may refuse, edit for format, hide, reject or remove any content, and restrict or suspend any account, where we think it breaches these Terms or the law, with or without notice.
5. Property dealings: your own due diligence
5.1Do your own checks. Property deals carry legal and financial risk. Before you pay or sign anything, independently verify the other party's identity and authority, title and chain of ownership, encumbrances and loans, pending litigation, land-use conversion and approvals, taxes and dues, boundaries and area, and RERA registration where it applies.
5.2Use qualified professionals. We strongly advise you to appoint your own advocate and, where relevant, a chartered accountant, valuer or engineer, and to complete registration at the office of the Sub-Registrar. Our services and any professional we introduce do not replace your own advisers.
5.3Payments. We do not hold, collect or transfer money for property deals, token amounts, advances, rent or deposits, and we are not an escrow agent. Any payment you make to another person is at your own risk. Pay through traceable banking channels and obtain written receipts.
5.4No responsibility for outcomes. We are not responsible for any loss, dispute, fraud, misrepresentation, title defect, delay, cancellation, non-performance or legal proceeding arising from any property transaction or dealing between users, whether or not it began on the Platform.
5.5Meetings and visits. You are responsible for your own safety when you contact people, visit properties or meet in person. Take sensible precautions and tell someone you trust where you are going.
6. Property services, loans, plans and vendors
6.1Help and coordination only. Document verification, registry assistance, rental agreements, legal assistance, home-loan introductions, civil and architectural plans, building materials and similar services are made available to help you. Unless we say otherwise in writing, they are carried out by independent third-party professionals, partners and vendors, not by us.
6.2Separate engagement. Your agreement for the service is with the professional or vendor, on their terms and fees. We are not liable for their acts, advice, omissions, quality, delays or pricing, but we will help you raise a complaint through our Grievance Redressal process.
6.3No guaranteed result. We do not guarantee that any document will be approved, any registry or mutation completed, any loan sanctioned, any plan passed or any timeline met. Outcomes depend on government offices, lenders and facts outside our control.
6.4Information you provide. You must give complete and genuine documents and information. Delay, rejection and any consequence caused by incorrect, incomplete or forged material is your responsibility.
6.5Indicative figures. EMI results, interest rates, loan eligibility, costs, stamp duty and fee estimates shown on the Platform are indicative only. The lender, authority or provider's own figures and terms apply.
6.6No professional relationship with us. Sending a service request does not create a lawyer–client, chartered accountant–client or similar professional relationship with UdaiSpot. Any such relationship arises only between you and the professional you choose to engage, who is responsible for their own advice and professional conduct.
7. Stays, venues, pools and bookings
7.1A request is not a confirmation. A booking or availability request sent through the Platform is an enquiry. A booking exists only when the venue or our desk confirms it to you, on the venue's price, rules and cancellation terms.
7.2Venue responsibility. The venue owner or operator is solely responsible for the property, its licences and permissions, safety, food, staff, services, availability, and any loss, injury or damage on its premises. We do not own, operate or inspect listed venues.
7.3Your conduct. You are responsible for your guests and for following the venue's rules and applicable law, including any licence needed for an event.
8. Fees, payments and refunds
8.1Free browsing. Browsing and posting basic listings and requirements may be free. If a feature or service carries a fee, we will show it, with applicable taxes, before you pay.
8.2Third-party and government charges. Fees charged by professionals, vendors, lenders, venues and government offices, such as stamp duty and registration charges, are set by them and are separate from ours.
8.3Refunds. Refund and cancellation terms for a paid service are shown when you buy it. Unless the law or those terms say otherwise, amounts for work already done, third-party fees and government charges are not refundable.
9. What you must not do
9.1Unlawful or harmful use. Do not use the Platform for fraud, misrepresentation, cheating, harassment, hate, discrimination, illegal property or anything that breaks Indian law or the Listing & Content Policy.
9.2Misuse of the Platform. Do not scrape or copy data in bulk, use bots, probe or attack our systems, bypass security or limits, upload malware, spam other users, or collect other people's contact details to send unsolicited messages.
9.3Misuse of contact details. Contact details shown on the Platform may be used only for the enquiry or requirement they relate to. Do not store, sell or use them for marketing or unrelated purposes.
9.4Honest reviews. Post only honest reviews based on real experience. Do not post fake, paid or retaliatory reviews, or reviews about your own business.
9.5Contacting you. You agree that we may contact you by phone call, SMS, email, WhatsApp or in-app message about your account, enquiries, listings, requirements and service requests, even if your number is on a do-not-disturb register, because these are service messages. We send promotional messages only if you have opted in.
10. Intellectual property
10.1Our rights. The Platform, including its design, software, name, logo and content we create, belongs to us or our licensors and is protected by law. You may use it only as these Terms allow.
10.2Other people's rights. Do not post content that infringes anyone's copyright, trademark or other rights. If you believe content on the Platform infringes your rights, tell us through the Grievance Redressal page with enough detail for us to act.
11. Third-party content, links and maps
11.1Third-party material. The Platform may show maps, links, content or services from others. We do not control them and are not responsible for them, their accuracy, or their terms and privacy practices.
11.2Maps and location. Map pins, distances, boundaries and area details are approximate and supplied by users or third-party providers. Do not rely on them to establish a boundary, title or exact location.
12. Disclaimer of warranties
12.1As is. To the fullest extent permitted by law, the Platform and everything on it are provided "as is" and "as available", without warranties of any kind, express or implied, including accuracy, completeness, title, fitness for a purpose, non-infringement and uninterrupted or error-free operation.
12.2User information. Listings, requirements, reviews, prices, areas, photos, availability and other information are created by users and third parties. We do not verify or guarantee them, and you rely on them at your own risk.
12.3Further disclaimer. Our Disclaimer page forms part of these Terms and explains in more detail the limits of our role.
13. Limitation of liability
13.1Exclusion. To the fullest extent permitted by law, we and our directors, employees, partners and affiliates are not liable for any indirect, incidental, special, consequential or punitive loss, or for loss of profit, business, goodwill, data, opportunity or the value of any property deal, arising from your use of the Platform or any dealing with a user, professional, vendor, lender or venue.
13.2Cap. Where liability cannot be excluded, our total liability to you for all claims relating to the Platform is limited to the fees, if any, that you paid us for the specific service that gave rise to the claim.
13.3What the law does not let us limit. Nothing in these Terms limits liability for fraud or wilful misconduct, or any right you have under the Consumer Protection Act, 2019 or other law that cannot be excluded by agreement, including your right to approach a consumer commission.
13.4Events beyond our control. We are not liable for events outside our reasonable control, including outages, internet or power failure, cyber-attacks, government action, natural events or the acts of third parties.
14. Indemnity
14.1Your indemnity. You agree to compensate and hold harmless UdaiSpot and its directors, employees and partners against third-party claims and resulting losses, liabilities, penalties and reasonable legal costs, to the extent they arise from your content, your breach of these Terms or any law, your infringement of anyone's rights, or any dispute between you and another user, professional, vendor or venue.
15. Suspension and termination
15.1By us. We may suspend or end your access, remove content and cancel pending requests if you breach these Terms, if we are required to by law or an authority, or if we reasonably suspect fraud or misuse.
15.2By you. You can stop using the Platform and delete your account from Settings at any time. Provisions that by their nature should continue, including those on content, disclaimers, liability, indemnity and governing law, survive termination.
15.3Repeat infringers. We may suspend or close the accounts of users who repeatedly post unlawful or infringing content.
16. Governing law and disputes
16.1Governing law. These Terms are governed by the laws of India.
16.2Raise it with us first. If you have a concern, please first raise it through our Grievance Redressal process so we can try to resolve it in good faith.
16.3Courts. Subject to any rights you have as a consumer that cannot be waived, the courts at Udaipur, Rajasthan have exclusive jurisdiction over any dispute arising out of these Terms or your use of the Platform.
17. General
17.1Entire agreement. These Terms and the policies they refer to are the entire agreement between you and us about the Platform and replace earlier understandings.
17.2Severability and waiver. If any part is found unenforceable, the rest continues. Our not enforcing a right is not a waiver of it.
17.3Assignment. We may transfer our rights and duties under these Terms to a successor or affiliate. You may not transfer yours without our written consent.
17.4Electronic records. These Terms are an electronic record under the Information Technology Act, 2000 and need no physical or digital signature. Your acceptance and our system logs are valid evidence of your agreement.
17.5Notices. We may give notice by posting on the Platform, by in-app message, or to your registered email or phone. Notices to us go through the Grievance Redressal page.
17.6Language. If these Terms are translated, the English version prevails.
